Public beta terms for using ctx

These Terms of Use (Terms) govern your access to and use of the ctx public beta, including the public documentation site and the ctx desktop app, and are between you and ctx engineering, inc. (ctx, we, us).

By accessing or using ctx, you agree to these Terms. If you do not agree, do not use ctx.

Eligibility

You must be able to form a binding contract with us and comply with these Terms and applicable law to use ctx.

If you use ctx on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The beta service

ctx is currently offered as a public beta.

That means:

  • features may change, break, or be removed
  • availability may be limited or interrupted
  • documentation, workflows, and product behavior may change quickly
  • we may update the beta, pause access, or discontinue parts of it at any time

At launch, ctx does not require a ctx account and does not include paid plans or billing.

We may introduce paid seats, licenses, or other commercial terms later. If we do, additional commercial terms may apply to those offerings.

Your responsibilities

You are responsible for:

  • using ctx lawfully and responsibly
  • maintaining the security of the machines, repositories, providers, and credentials you connect
  • reviewing agent-generated changes before you accept or apply them
  • ensuring you have the rights needed to use the code, data, prompts, repositories, and services you provide to ctx

You are also responsible for your use of third-party providers and services you connect to ctx.

Acceptable use

You may not use ctx to:

  • violate any law or regulation
  • infringe intellectual property, privacy, or other rights
  • attempt to gain unauthorized access to systems, accounts, or data
  • interfere with or disrupt ctx, the docs site, or related infrastructure
  • use ctx to distribute malware, harmful code, or abusive content
  • reverse engineer or probe non-public parts of the service except to the extent permitted by applicable law

Third-party services

ctx is designed to work with third-party model providers, routers, code hosts, cloud platforms, and infrastructure that you choose.

We are not responsible for third-party services, and your use of those services is governed by their own terms and policies.

Ownership

As between you and ctx, you retain your rights in the repositories, code, prompts, inputs, outputs, and other materials you provide, subject to any rights needed for us and our service providers to operate ctx.

We and our licensors retain all rights in ctx, the docs site, and related software, branding, and content, except for the rights we grant you to use the beta under these Terms.

Feedback

If you send us feedback, suggestions, or ideas about ctx, you grant us a worldwide, non-exclusive, royalty-free, fully paid-up right to use, modify, and incorporate that feedback without restriction or compensation to you.

No warranty

ctx is provided on an as is and as available basis.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that ctx will be uninterrupted, secure, or error-free.

Limitation of liability

To the maximum extent permitted by law, ctx engineering, inc. and its officers, directors, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to your use of ctx.

To the maximum extent permitted by law, our total liability for all claims arising out of or related to ctx or these Terms will not exceed one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain warranty disclaimers or liability limitations, so parts of this section may not apply to you.

Indemnity

You will defend, indemnify, and hold harmless ctx engineering, inc. and its officers, directors, employees, contractors, and affiliates from and against claims, liabilities, damages, losses, and expenses arising out of or related to your use of ctx, your content, or your violation of these Terms or applicable law.

Changes to ctx or these terms

We may modify ctx or these Terms from time to time. If we update these Terms, we will post the updated version on this page and update the Last updated date.

Your continued use of ctx after updated Terms become effective means you accept the updated Terms.

Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules.

Any dispute arising out of or relating to these Terms or ctx will be brought exclusively in the state or federal courts located in Delaware, and you and ctx consent to personal jurisdiction and venue in those courts.
